Reinstatement for Corporation, LLC, or LP

Only a Domestic Montana Corporation, Domestic Limited Liability Company, or a Domestic or Foreign Limited Partnership can reinstate.

Register New BusinessIf you are a Foreign Corporation or Foreign Limited Liability Company (formed in another state) and your registration is inactive, you will need to re-register.

Register New BusinessIf you are an Assumed Business Name (ABN), Limited Partnership (LP), Limited Liability Partnership (LLP), Limited Liability Limited Partnership (LLLP), and are within 90 days of your expiration date, you will need to renew.

Register New BusinessLimited Partnerships that wish to reinstate within 5 years of the expiration date will use this tool to file both the renewal and reinstatement forms.

Step 1: Business Entity Search

Search your business name below to obtain your ID # and determine how long you have been dissolved.

Step 2: Select Your Action

Register New BusinessDomestic Corp or LLC reinstating within 5 years of involuntary dissolution date.

A Title 15 Tax Certificate from the Montana Department of Revenue must accompany your application. You also must file any past-due Annual Reports and pay any penalties that have accrued. Continue to the next slide.

Register New BusinessDomestic Corp or LLC that was involuntarily dissolved more than 5 years ago.

You cannot reinstate. Re-register your business.

Register New BusinessCorporation that was voluntarily dissolved by filing Articles of Dissolution.

You can only reverse a voluntary dissolution within 120 days by filing Articles of Amendment. You may re-register after 120 days.

Step 3: Print and Fill Out Your Forms

The form(s) must be filled out in its entirety. Please read each item on the form and follow the instructions.

Limited Liability Company:

Nonprofit Corporation:

Forms 6 and 7.
*Forms 33 and 53 link you to the paper annual report site. Please print 1 annual report for each year due, including the current year. *Forms 18 and 22B link you to the pre-filled paper annual report site. Please print 1 annual report for each year due, including the current year. Obtain your business ID #
*if the LLC is a "single member" that is not taxed as a corporation pursuant to MCA 35-8-912, a certificate from the Montana Department of Revenue is not required, so you can skip form #24.
NOTE – A fee sheet is attached to each form to help determine your total cost.
Forms 24, 42, and 62 can be filed by paper or online.

Step 4: Mail Form(s) and Fees

Mail your completed form to our office with the appropriate
fee (fees can be found on the upper right part of each form).

Step 5: Obtain Confirmation

Once we have successfully processed your document(s), you will be mailed a confirmation letter.

If your document is rejected for any reason, we will mail you a letter detailing the filing deficiency, along with your original document(s) to correct.

Rejected documents are subject to a reprocessing fee of 50% of the original filing fee.
